1. Agreement to Terms

By accessing our website or engaging our dispatch services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. These Terms apply to all visitors, carriers, and clients who interact with Elite Dispatch Logistics in any capacity.

2. About Our Services

Elite Dispatch Logistics provides freight dispatch services to carriers and owner-operators, including but not limited to:

  • Load planning and booking
  • Rate negotiation on behalf of carriers
  • Administrative and paperwork support
  • Daily operations and task management

We act as a dispatch intermediary. We are not a freight broker, motor carrier, or freight forwarder. We do not take ownership or custody of any freight at any time.

3. Service Agreement

Engaging our dispatch services constitutes a working agreement between you (the carrier) and Elite Dispatch Logistics. The specific terms of each dispatch engagement, including lanes, equipment preferences, and agreed commission rates, will be established at the start of the working relationship and confirmed in writing.

Our standard commission rate is 5% per load secured. This rate covers all included services: load planning, rate negotiation, administrative support, and daily operations management. No additional fees will be charged without prior written notice and your consent.

4. Carrier Responsibilities

As a carrier using our services, you agree to:

  • Provide accurate and up-to-date information about your equipment, operating authority, insurance, and preferred lanes
  • Maintain all required operating licenses, permits, and insurance coverage as required by federal and state law
  • Honor load commitments confirmed through our dispatch services
  • Communicate promptly with our team regarding any changes, delays, or issues that may affect load completion
  • Notify us immediately of any changes to your operating authority or insurance status

5. Our Responsibilities

Elite Dispatch Logistics agrees to:

  • Work diligently to secure loads that match your equipment and lane preferences
  • Negotiate rates using real-time market data on your behalf
  • Handle broker communication, paperwork, and administrative tasks as agreed
  • Provide proactive support to resolve operational issues as they arise
  • Treat your business information with confidentiality and professionalism

6. AI Technology

We utilize AI-powered technology, including Numo, as part of our dispatch and rate negotiation process. While this technology enhances our ability to secure favorable rates and respond quickly to market conditions, it is used to support our human dispatch team, not replace it. We do not guarantee specific outcomes based on AI-generated data or predictions.

7. Limitation of Liability

Elite Dispatch Logistics acts as a dispatch service provider only. We are not liable for:

  • Freight loss, damage, or delay
  • Accidents or incidents occurring during transit
  • Actions or failures of third-party brokers, shippers, or receivers
  • Market rate fluctuations beyond our control
  • Any indirect, incidental, or consequential damages arising from the use of our services

Our total liability to any carrier or client shall not exceed the total fees paid to us in the thirty (30) days preceding the claim.

8. Termination of Services

Either party may terminate the dispatch relationship at any time with written notice. Upon termination:

  • Any loads already booked and confirmed remain the responsibility of the carrier to complete
  • Outstanding commissions owed to Elite Dispatch Logistics for secured loads remain due and payable
  • All confidential information shared during the working relationship must be treated as such by both parties

9. Confidentiality

Both parties agree to keep confidential any proprietary business information, client data, pricing strategies, or operational details shared during the course of the working relationship. This obligation survives the termination of services.

10. Governing Law

These Terms of Service are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Tarrant County, Texas.

11. Changes to These Terms

We reserve the right to update these Terms of Service at any time. When we do, we will update the “Last Updated” date at the top of this page. Continued use of our services after any changes constitutes your acceptance of the updated terms.
